This Seller Agreement ("Agreement") is entered into between StoryToShop LLC, a Texas limited liability company ("StoryToShop," "we," "us," or "our"), and the individual or legal entity registering to sell through StoryToShop ("Seller," "you," or "your").
By checking the Seller Agreement acceptance box and submitting your Seller registration, you electronically sign and agree to be legally bound by this Agreement and the policies incorporated into it.
If you accept this Agreement on behalf of a business or other legal entity, you represent that you have authority to bind that entity.
1. DEFINITIONS
1.1 Service. "Service" means the StoryToShop platform, including Seller storefronts, commerce and checkout functionality, marketplace and discovery features, dashboards, analytics, communications tools, websites, applications, and related services.
1.2 Storefront. "Storefront" means the Seller-controlled public storefront and associated presentation of Seller products through StoryToShop.
1.3 Listing. "Listing" means a product, item, offer, or service a Seller presents for sale through StoryToShop.
1.4 Seller Content. "Seller Content" means photographs, artwork, illustrations, graphics, video, audio, product descriptions, written content, branding, logos, store names, and other content uploaded, submitted, or published by a Seller.
1.5 Personal Information. "Personal Information" means information relating to an identified or reasonably identifiable person, as defined by applicable privacy law.
1.6 Platform Data. "Platform Data" means operational and analytical information generated through use of StoryToShop, including transaction data, fulfillment data, traffic, clicks, conversion data, product metadata, category information, search activity, marketplace activity, pricing information, and fraud, security, and risk signals.
Seller Content is not Platform Data. Personal Information remains subject to applicable privacy law regardless of whether it also forms part of Platform Data.
1.7 Generative AI. "Generative AI" means an artificial-intelligence system that generates new images, artwork, designs, text, audio, video, or other creative output from prompts, source materials, or other inputs.
1.8 Human-Created Product Standard. "Human-Created Product Standard" means the creative-authorship requirements in Section 12.
1.9 Creator Integrity. "Creator Integrity" means StoryToShop's contractual marketplace originality standard described in Sections 11, 14, and 15. Creator Integrity enforcement is separate from a legal determination of copyright, trademark, or other intellectual-property infringement.
1.10 Payment Provider. "Payment Provider" means Stripe and any other payment processor, financial institution, or payment service StoryToShop authorizes to process transactions.
1.11 Platform Fee. "Platform Fee" means StoryToShop's transaction fee stated in Section 29 and the Seller Fee Schedule.
1.12 Plan. "Plan" means a paid StoryToShop subscription plan governed by the Seller Plan & Billing Terms.
1.13 Material Enforcement Action. "Material Enforcement Action" means:
- removal or restriction of multiple Listings;
- material restriction of Storefront visibility;
- pausing a Storefront;
- suspension of selling privileges;
- a Creator Integrity determination against a Seller; or
- termination of a Seller account.
Routine Listing corrections, warnings, and temporary automated safeguards pending review are not Material Enforcement Actions unless they develop into one of the actions above.
2. SCOPE OF THIS AGREEMENT
2.1 This Agreement governs your registration and use of StoryToShop as a Seller. It applies to sales made through your Storefront and, where available, through StoryToShop marketplace, search, recommendation, and discovery features.
2.2 The StoryToShop policies identified in Section 46 become part of this Agreement when they are published and properly incorporated.
2.3 Your use of Stripe or another Payment Provider is also governed by the applicable Payment Provider agreements. If you subscribe to a paid StoryToShop Plan, you also agree to the Seller Plan & Billing Terms.
3. STORYTOSHOP'S ROLE
3.1 StoryToShop provides commerce infrastructure and marketplace services that allow independent creators, artists, makers, designers, authors, boutiques, brands, and other approved Sellers to operate Storefronts, offer products to their audiences, process transactions, and participate in marketplace discovery.
3.2 Except where applicable law requires otherwise, the Seller is the merchant responsible for the product sold to the customer. StoryToShop.ai acts as the settlement merchant for payment purposes under Section 29 and as a marketplace facilitator for sales-tax purposes under Section 31. Neither role transfers responsibility for the product, its description, safety, legality, labeling, or fulfillment from the Seller to StoryToShop LLC.
3.3 StoryToShop does not manufacture, design, warehouse, own, inspect, or take title to Seller products unless StoryToShop expressly agrees otherwise in writing. Sellers are responsible for their products, including their design, quality, safety, legality, labeling, authenticity, claims, fulfillment, and regulatory compliance.
3.4 Nothing in this Agreement creates an employment, partnership, joint venture, franchise, or general agency relationship between StoryToShop and a Seller.
3.5 StoryToShop is not a shipping carrier, manufacturer, bank, or insurer.
3.6 StoryToShop does not guarantee any particular amount of traffic, discovery placement, sales, customer acquisition, revenue, or business results.
4. TERRITORY
4.1 StoryToShop is initially offered to Sellers located and operating in the United States.
4.2 StoryToShop may later make the Service available in additional countries or territories under additional or different terms. Nothing in this Agreement is a commitment to do so.
4.3 Sellers must comply with applicable sanctions, export-control, and trade laws. A Seller may not knowingly conduct transactions with prohibited persons, entities, or destinations. StoryToShop may restrict activity when required for sanctions or trade-law compliance.
5. SELLER INDEPENDENCE AND CONTROL
5.1 Subject to this Agreement, StoryToShop policies, and applicable law, Sellers control their:
- Storefront;
- brand presentation;
- products;
- pricing;
- inventory;
- shipping and fulfillment;
- customer service;
- promotions;
- lawful marketing;
- return and cancellation policies, subject to StoryToShop minimum standards; and
- customer relationships.
5.2 StoryToShop does not acquire ownership of a Seller's business, brand, products, audience, intellectual property, or preexisting customer relationships because the Seller uses StoryToShop.
5.3 Non-Exclusivity. Sellers may operate their own websites, physical stores, social-media accounts, and accounts on other marketplaces. StoryToShop does not claim exclusivity over a Seller's business, products, or audience.
5.4 Seller independence does not prevent StoryToShop from enforcing marketplace rules, addressing fraud, protecting customers or creators, processing transactions, responding to safety or security risks, handling intellectual-property complaints, or complying with law.
6. SELLER ELIGIBILITY AND INFORMATION
6.1 You must be at least eighteen years old and legally capable of entering into this Agreement.
6.2 You must provide accurate, complete, and current information regarding your identity, business, contact information, taxpayer information, banking information, ownership, products, and business model.
6.3 You authorize StoryToShop and authorized service providers to verify information reasonably necessary for:
- payment processing;
- identity verification;
- fraud prevention;
- tax compliance;
- marketplace integrity; and
- legal compliance.
6.4 You must promptly update information that changes.
6.5 StoryToShop may restrict selling when required information is missing, inaccurate, cannot reasonably be verified, or creates a legal, payment, or marketplace risk. Where appropriate, StoryToShop will explain what information is needed and provide a reasonable opportunity to respond.
7. ACCOUNT SECURITY
7.1 You are responsible for protecting your login credentials and maintaining reasonable security over your Seller account.
7.2 You may authorize employees, contractors, or representatives to use your account where StoryToShop permits such access. You remain responsible for authorized users acting on behalf of your business.
7.3 You must promptly notify StoryToShop if you suspect unauthorized access or compromise.
7.4 StoryToShop may require security measures including:
- multi-factor authentication;
- identity or business re-verification;
- banking-information verification;
- verification of high-risk account changes;
- temporary account restrictions;
- additional authentication after suspicious activity; and
- security holds following changes to payout information where technically available.
7.5 Where StoryToShop restricts an account for security reasons, StoryToShop will generally provide notice and information needed to restore access unless doing so would undermine fraud prevention, security, law enforcement, or an active investigation.
8. SELLER VERIFICATION AND MARKETPLACE TRANSPARENCY
8.1 StoryToShop may be required by federal or state law to collect, verify, maintain, certify, or disclose information about certain Sellers.
8.2 To the extent required by applicable law, StoryToShop may:
- collect identity, banking, contact, ownership, and tax information;
- verify that information;
- request periodic certification;
- require information updates;
- make legally required disclosures;
- provide consumer reporting mechanisms; and
- suspend Sellers who fail to satisfy legally required verification or certification requirements.
8.3 Sellers must reasonably cooperate with these requirements.
8.4 Where reasonably possible, StoryToShop will notify Sellers approaching legally significant marketplace-verification thresholds and explain the resulting requirements.
8.5 Detailed thresholds, timeframes, certification procedures, and disclosure mechanics are maintained in StoryToShop's Seller Verification and Marketplace Transparency framework rather than in this Agreement, because those requirements are set by statute and may change.
9. SELLER CATEGORIES AND PERMITTED BUSINESS MODELS
StoryToShop is curated but is not limited to traditional handmade businesses. A Seller may operate under one or more approved categories.
9.1 Maker / Artist. A Seller who materially creates the physical or creative product.
9.2 Designer With Production Partner. A Seller who creates the original design or creative work and uses a disclosed manufacturer, printer, production partner, or fulfillment provider. The Seller must own or have appropriate rights to commercialize the underlying work.
9.3 Curated Boutique / Authorized Retailer. A Seller who lawfully resells genuine third-party merchandise as a curated retailer. The Seller must not falsely represent those products as personally created or handmade.
9.4 Author / Publisher. An author, illustrator, publisher, or authorized rights holder selling written or published material.
9.5 Digital Creator. A Seller offering original or properly licensed digital products, files, templates, patterns, educational materials, or other digital goods.
9.6 Generic Dropshipping and Catalog Arbitrage. StoryToShop prohibits anonymous generic dropshipping and catalog arbitrage. Relevant factors may include whether the Seller:
- made no meaningful creative, design, brand, or curatorial contribution;
- has no genuine relationship with the product manufacturer or brand;
- merely republishes widely available third-party catalog products;
- cannot identify the manufacturer, source, or production partner; or
- operates primarily as an intermediary for generic marketplace inventory.
Using legitimate print-on-demand, manufacturing, fulfillment, or production partners for a Seller's original products is not prohibited dropshipping. Operating a genuine curated boutique is not prohibited dropshipping.
9.7 Mass-produced products may not be falsely represented as Seller-created, handmade, small-batch, or made-to-order.
9.8 Category Designation. You will identify your applicable category or categories during onboarding and must keep that designation accurate. StoryToShop may display category information on a Storefront or Listing, may add or refine categories, and may require a Seller to correct a designation that does not match the Seller's actual business. Your representations under Sections 10, 11, and 36 are made with reference to the category you have selected.
10. PRODUCT LISTINGS
10.1 Listings must truthfully and accurately describe what the customer will receive.
10.2 Where applicable, Sellers must accurately disclose material information such as:
- product dimensions;
- materials;
- condition;
- ingredients and allergens;
- origin;
- production method;
- production partners;
- customization;
- processing time;
- shipping expectations;
- warnings;
- certifications; and
- material limitations.
10.3 Sellers may not make deceptive, misleading, or materially unsupported claims.
10.4 Sellers are responsible for ensuring their Listings and products comply with applicable law.
11. ORIGINAL PRODUCTS AND CREATOR INTEGRITY
11.1 StoryToShop is intended to be a marketplace for authentic businesses and legitimate original products.
11.2 You may not sell counterfeit, stolen, pirated, unauthorized, or unlawfully copied goods.
11.3 You may not copy, trace, reproduce, or materially appropriate another creator's protected artwork, photography, illustration, writing, pattern, product design, branding, or packaging without authorization.
11.4 You may not misrepresent who created a product, how a product was created, or your relationship with the creator, manufacturer, or brand.
11.5 Two Different Systems. StoryToShop distinguishes between:
- Creator Integrity enforcement, which applies StoryToShop's marketplace standards; and
- legal intellectual-property enforcement, which addresses copyright, trademark, and other legal claims.
A Creator Integrity decision is not a legal judgment that infringement occurred.
12. HUMAN-CREATED PRODUCT STANDARD
12.1 Core Standard. The creative expression a customer is purchasing must originate from human authorship. Generative AI may not create or substantially create the artistic or creative expression being sold.
12.2 This standard applies to, among other things:
- artwork;
- illustration;
- graphic design;
- surface and textile design;
- patterns;
- creative writing;
- books and manuscripts;
- digital creative products;
- photography;
- music;
- voice recordings;
- video;
- book covers;
- merchandise artwork; and
- other creative expression offered as part of a product.
12.3 Prohibited Generative-AI Products. Sellers may not sell:
- artwork substantially generated by AI;
- AI-generated illustrations or designs;
- merchandise bearing substantially AI-generated artwork;
- substantially AI-generated photography offered as creative work;
- digital creative products consisting primarily of AI-generated output;
- substantially AI-generated books or creative written works;
- AI-generated music, voice, or video sold as original creative work;
- AI-generated imitations of another creator's work; or
- products produced by feeding another creator's work into an AI system for unauthorized commercial transformation.
12.4 AI Laundering Is Prohibited. AI-generated creative output does not become compliant merely because a Seller:
- changes the colors;
- changes typography;
- redraws small portions;
- manually retouches the output;
- combines multiple AI generations;
- passes it through another AI system;
- traces it;
- uses it as an under-drawing or primary creative base; or
- makes minor changes to another creator's AI-transformed work.
12.5 Product and Listing Images. Generative-AI imagery may not be used as product photography or Listing imagery in a way that represents or depicts the product being sold. Listing images must truthfully represent the real product. StoryToShop may permit clearly identified renderings or mockups for products such as made-to-order goods when permitted under the Originality & Human-Created Products Policy.
12.6 Permitted Business Uses of AI. Sellers may use AI-assisted systems for legitimate business-support purposes including:
- marketing strategy;
- promotional concepts;
- advertising;
- copy drafting;
- SEO;
- research;
- analytics;
- inventory planning;
- scheduling;
- administrative work; and
- customer-service drafting.
AI-assisted promotional material must not falsely depict a product, mislead a customer about what is being sold, or infringe another person's rights.
13. ASSISTIVE CREATIVE TECHNOLOGY
13.1 Using technology in a creative workflow does not automatically make a product AI-generated. Assistive technology may help execute, prepare, edit, or present human-created work. It may not replace the human authorship of the creative expression being sold.
13.2 Permitted tools and processes may include:
- cropping;
- resizing;
- exposure correction;
- white-balance correction;
- color correction;
- masking;
- noise reduction;
- sharpening;
- upscaling;
- spot healing;
- removal of dust or photographic imperfections;
- background removal or cleanup;
- vectorizing a Seller's own artwork;
- digitizing a Seller's own artwork;
- compositing an original design into an accurate product mockup;
- automated layout;
- formatting;
- typesetting;
- accessibility tools;
- captioning or transcription;
- spelling and grammar assistance; and
- comparable editing or production tools.
13.3 The fact that machine learning or AI technology exists inside professional software does not itself violate this Agreement. The material question is who created the creative expression the customer is purchasing.
13.4 Interpretive Guidance. StoryToShop may publish further guidance, examples, and category-specific clarifications in the Originality & Human-Created Products Policy. That guidance interprets the standard in Sections 12 and 13; it does not expand the prohibition beyond it.
14. PROOF OF HUMAN CREATION
14.1 StoryToShop does not require every Seller to maintain a permanent evidentiary file proving human creation.
14.2 When StoryToShop has a credible reason to question compliance with the Human-Created Product Standard, StoryToShop may request reasonable supporting information. Depending on the medium, this could include:
- sketches;
- drafts;
- source files;
- layered files;
- RAW photographs;
- progress photographs;
- time-lapse recordings;
- manuscript drafts;
- production records;
- correspondence with production partners;
- timestamps; or
- comparable evidence of creation.
14.3 StoryToShop will tell the Seller what information is being requested and provide a reasonable period to respond.
14.4 Failure to provide requested information may be considered as part of StoryToShop's review but does not automatically establish a violation.
14.5 StoryToShop will not provide a Seller's private source files to the complaining party and will use submitted materials only for marketplace review, fraud prevention, legal compliance, or related trust-and-safety purposes.
15. CREATOR INTEGRITY STANDARD AND COMPLAINTS
15.1 Marketplace Standard. StoryToShop may maintain originality standards that are more protective of creators than the minimum requirements imposed by intellectual-property law.
After human review, StoryToShop may remove or restrict a Listing or take appropriate account action where StoryToShop reasonably determines that a Seller materially copied or deliberately imitated another creator's original expression, product presentation, branding, packaging, or distinctive creative material in a manner inconsistent with StoryToShop's marketplace standards.
A product may fail StoryToShop's Creator Integrity standards even when StoryToShop is not determining that legal copyright or trademark infringement occurred.
15.2 No Legal Determination. Creator Integrity decisions are private marketplace-policy decisions. They are not judicial determinations or findings that copyright, trademark, trade dress, patent, or other legal infringement occurred.
15.3 Evidence StoryToShop May Consider. StoryToShop may consider:
- substantial similarity in protected or original expression;
- unusually close composition or arrangement;
- replication of distinctive details;
- repeated copying across multiple products;
- copied product photography;
- copied packaging;
- copied branding or naming;
- copied original wording;
- documented access to earlier work;
- patterns of imitation;
- development records;
- source files;
- publication dates; and
- other relevant circumstances.
15.4 What Sellers Do Not Own. StoryToShop will not remove a Listing solely because it shares another Seller's:
- artistic style;
- medium;
- technique;
- aesthetic;
- genre;
- subject matter;
- common motifs;
- trends;
- functional design elements;
- ideas or concepts;
- public-domain material; or
- generally available templates or industry conventions.
StoryToShop does not grant any Seller exclusive marketplace ownership over a style or aesthetic.
15.5 Complaint Process. A Creator Integrity complaint should generally include:
- identification of the original work;
- identification of the disputed Listing;
- an explanation of the claimed copying; and
- reasonably available supporting evidence.
StoryToShop will conduct an initial human review. Where circumstances reasonably permit, the responding Seller will be given an opportunity to respond before a Material Enforcement Action is finalized. StoryToShop may request additional information from either party.
15.6 Decision and Appeal. Material Creator Integrity enforcement decisions will be communicated to the affected Seller with a meaningful explanation, subject to legitimate confidentiality, safety, fraud, or legal limitations. The Seller may appeal under Section 34.
15.7 Abuse. Knowingly false, retaliatory, fraudulent, or abusive Creator Integrity complaints may themselves result in enforcement.
15.8 Immediate Intervention. StoryToShop may act before receiving a Seller response where reasonably necessary to address fraud, safety risk, counterfeit goods, legal requirements, Payment Provider requirements, or serious marketplace abuse.
15.9 No Duty to Monitor. StoryToShop's right to enforce Creator Integrity standards does not create a contractual duty to monitor every Listing or discover every instance of copying, and a decision not to act in a particular case is not a breach of this Agreement or a waiver of StoryToShop's rights.
16. LEGAL INTELLECTUAL-PROPERTY COMPLAINTS
16.1 StoryToShop respects copyright, trademark, and other intellectual-property rights. Legal IP complaints are handled separately from Creator Integrity complaints.
16.2 Complaints. A person reporting infringement may be required to identify:
- the protected work or right;
- the disputed Listing;
- the basis of the complaint;
- relevant contact information; and
- supporting documentation reasonably necessary to process the claim.
16.3 DMCA. StoryToShop LLC maintains a copyright notice-and-takedown process designed to comply with the Digital Millennium Copyright Act. Copyright notices must be sent to:

The full registered mailing address maintained with the United States Copyright Office controls if it differs from the city-and-ZIP summary shown here. Where required by law, StoryToShop LLC will provide affected Sellers with applicable counter-notification procedures and process restoration in accordance with governing law.
16.4 Other Rights. Trademark, patent, publicity-right, and other non-copyright complaints are not governed by the DMCA and will be handled under StoryToShop's Intellectual Property & DMCA Policy.
16.5 Repeat Infringers. StoryToShop will maintain and reasonably implement a policy providing for termination of repeat infringers in appropriate circumstances.
16.6 Abusive Legal Complaints. Knowingly false, fraudulent, abusive, or retaliatory IP complaints may result in StoryToShop enforcement and may carry consequences under applicable law.
16.7 The 72-hour service target in Section 27 does not modify statutory DMCA procedures or timelines.
17. SELLER CONTENT AND INTELLECTUAL PROPERTY
17.1 Seller Ownership. Sellers retain ownership of the intellectual-property rights they hold in their Seller Content. StoryToShop does not acquire ownership of Seller artwork, photography, branding, writing, or other creative work merely because it is uploaded to StoryToShop.
17.2 License to Operate StoryToShop. You grant StoryToShop a non-exclusive, worldwide, royalty-free license to host, store, reproduce, resize, crop, reformat, publish, display, transmit, and distribute Seller Content, and to use your store name, logo, and marks, solely as reasonably necessary to:
- operate your Storefront;
- display and sell your products;
- process transactions;
- provide customer service;
- operate marketplace discovery;
- operate search and recommendation features;
- promote your Storefront and products;
- promote StoryToShop and its marketplace;
- distribute promotional materials through social, advertising, hosting, and content-delivery platforms; and
- perform StoryToShop's obligations under this Agreement.
17.3 Limited Adaptation and Sublicensing. StoryToShop may format, crop, resize, excerpt, caption, or assemble Seller Content for the purposes above. StoryToShop may sublicense these rights only to service providers and distribution platforms to the extent reasonably necessary to perform those purposes.
17.4 StoryToShop Will Not. Without the Seller's separate authorization, StoryToShop will not:
- create unrelated commercial merchandise from Seller Content;
- sell Seller artwork as StoryToShop's own product;
- license Seller Content for unrelated third-party commercial purposes; or
- use Seller Content to train Generative AI models, as further described in Section 18.1.
17.5 Duration. The license generally ends when the applicable Seller Content is permanently removed, except that StoryToShop may retain:
- transaction records;
- required legal records;
- backups;
- security records;
- dispute records;
- accounting records; and
- previously published marketing materials for a reasonable wind-down period.
17.6 Seller Warranty. You represent that you possess the rights, licenses, permissions, and releases necessary for StoryToShop to use your Seller Content as provided in this Agreement.
18. STORYTOSHOP'S USE OF AI AND AUTOMATED SYSTEMS
18.1 Generative-AI Training. StoryToShop will not use Seller Content to train, and will not sell, license, or provide Seller Content to a third party for the purpose of training, generative-AI models that produce creative images, artwork, text, audio, video, or comparable creative output without the Seller's separate authorization.
18.2 Vendors. StoryToShop LLC requires service providers that process Seller Content on its behalf to use that content only to provide contracted services and not to train generative models that produce creative output, except where a Seller has separately and affirmatively authorized that use.
18.3 Permitted StoryToShop Technology. StoryToShop may use software, algorithms, machine learning, automation, and AI for legitimate platform functions including:
- search;
- recommendation;
- ranking;
- personalization;
- marketplace discovery;
- categorization;
- duplicate and similarity detection;
- fraud prevention;
- risk scoring;
- moderation assistance;
- analytics;
- accessibility;
- security; and
- internal operational tools.
18.4 Nothing in this Agreement should be understood as a claim that StoryToShop never uses AI. StoryToShop's commitments concern how AI is used, particularly with Seller Content and consequential Seller decisions.
19. PLATFORM DATA
19.1 StoryToShop may use Platform Data to:
- operate the Service;
- maintain and secure the Service;
- improve search and discovery;
- improve marketplace recommendations;
- provide Seller analytics;
- understand marketplace trends;
- improve fraud detection;
- improve risk and security systems;
- develop aggregated marketplace insights; and
- improve StoryToShop products and services.
19.2 Seller Data Protections. StoryToShop will not:
- sell individually identifiable Seller revenue or performance data to unrelated third parties;
- publicly disclose an individual Seller's non-public sales information without authorization except where required by law or necessary for a dispute; or
- use an individual Seller's non-public performance data to create or market products intended to directly compete with that Seller's products.
19.3 Nothing in this Section gives StoryToShop ownership of the Seller's business, brand, products, or intellectual property.
19.4 Aggregated and appropriately de-identified marketplace information may be used for analytics, benchmarking, research, product development, and marketplace intelligence.
19.5 This Agreement does not commit StoryToShop to launch, maintain, or continue any particular analytics, insights, or marketplace-intelligence product.
20. CUSTOMER INFORMATION AND PRIVACY
20.1 Customer Personal Information is information about the customer and is not property owned by StoryToShop or a Seller.
20.2 StoryToShop may provide Sellers with Personal Information reasonably necessary to:
- fulfill orders;
- communicate regarding orders;
- provide customer service;
- handle returns or disputes; and
- maintain another lawful customer relationship.
20.3 Sellers must protect customer information and comply with applicable privacy, security, marketing, and communications laws.
20.4 Unless legally permitted and supported by any required customer consent, Sellers may not:
- sell or rent customer Personal Information;
- disclose it to unauthorized parties;
- add customers to unrelated marketing lists;
- send unlawful unsolicited marketing; or
- use it for purposes materially unrelated to the transaction or lawful customer relationship.
20.5 A Seller must notify StoryToShop promptly after becoming aware of unauthorized access to customer information received through StoryToShop and reasonably cooperate in responding.
20.6 Seller Relationships. Nothing in this Agreement gives StoryToShop ownership of a Seller's independently developed or preexisting customer list. Nothing prevents a Seller from maintaining a lawful relationship with a customer outside StoryToShop. Customers may independently have relationships with both the Seller and StoryToShop.
20.7 StoryToShop's processing of Personal Information is further governed by the StoryToShop Privacy Policy.
20.8 Legal and Government Requests. StoryToShop may disclose Seller or customer information where required by applicable law, legal process, or a governmental or law-enforcement request. Where StoryToShop is legally permitted to do so, StoryToShop will make reasonable efforts to notify the affected Seller.
21. SHIPPING AND FULFILLMENT
21.1 Sellers are responsible for fulfilling Seller orders.
21.2 Sellers must provide reasonable and accurate processing, shipment, and delivery representations.
21.3 Where a Seller cannot ship within a promised or legally required timeframe, the Seller must provide legally required notice and cancellation or refund options.
21.4 Sellers are responsible for appropriate packaging, accurate shipping information, carrier claims, and customs information where relevant.
21.5 StoryToShop may establish reasonable tracking, signature-confirmation, handling-time, or fulfillment requirements based on product category, order amount, risk, or other legitimate marketplace considerations.
21.6 Where required tracking is not supplied, StoryToShop may be unable to successfully contest a payment dispute, and resulting losses may be allocated to the Seller as permitted under this Agreement.
21.7 StoryToShop is not a shipping carrier and is not responsible for carrier-caused loss, delay, or damage.
22. PRODUCT SAFETY AND COMPLIANCE
22.1 Sellers are responsible for ensuring their products comply with applicable laws and standards concerning matters including:
- manufacturing;
- materials;
- testing;
- labeling;
- warnings;
- certifications;
- packaging;
- ingredients;
- age requirements;
- import/export requirements; and
- product-specific regulation.
22.2 Sellers must notify StoryToShop promptly if a product:
- is recalled;
- becomes subject to a government or manufacturer safety action;
- is reasonably suspected to be unsafe; or
- becomes unlawful to sell.
22.3 StoryToShop may immediately remove or restrict a product when StoryToShop reasonably believes it presents a material legal, regulatory, or safety risk.
22.4 StoryToShop may require applicable certifications, licenses, testing records, compliance documents, or insurance documents before permitting a product or category.
22.5 StoryToShop may cooperate with regulators and provide legally required product-safety information. Sellers must reasonably cooperate with StoryToShop and with regulators in connection with a recall or safety action affecting products sold through StoryToShop, including in communicating with affected customers.
23. PRODUCT LIABILITY INSURANCE
23.1 StoryToShop does not require every physical-product Seller to carry product-liability insurance solely to open a Storefront.
23.2 StoryToShop may require appropriate commercial general liability or product-liability insurance based on legitimate risk factors including:
- product category;
- regulatory requirements;
- sales volume;
- GMV;
- safety history;
- claims history; or
- other reasonable risk indicators.
23.3 Higher-risk categories may include:
- children's products;
- food or ingestibles;
- cosmetics and personal-care products;
- candles and flame products;
- electrical products;
- battery products;
- health-related products; and
- products subject to mandatory testing or safety requirements.
23.4 Where insurance becomes required, StoryToShop will communicate the requirement and provide a reasonable period for compliance unless immediate compliance is required by law or safety considerations.
23.5 Applicable coverage types, limits, thresholds, and documentation requirements are maintained in the Seller Standards.
24. PROHIBITED AND RESTRICTED PRODUCTS
24.1 Sellers may only offer products permitted under:
- applicable law;
- this Agreement;
- Payment Provider requirements; and
- the StoryToShop Prohibited & Restricted Products Policy.
24.2 StoryToShop may remove or restrict products prohibited by law, payment-network requirements, product-safety requirements, or StoryToShop marketplace standards.
24.3 Restricted categories may require documentation, licensing, age restrictions, insurance, certifications, or other conditions.
24.4 The operative list of prohibited and restricted products will be maintained in the separate Prohibited & Restricted Products Policy so it can be updated as applicable requirements evolve.
24.5 Where a change to that Policy affects products a Seller already lists, StoryToShop will provide notice under Section 41 and a reasonable period to remove or modify affected Listings, except where immediate action is required by law, safety, or a Payment Provider requirement.
25. PROHIBITED CONDUCT
You may not use StoryToShop to:
- commit fraud;
- deceive customers;
- harass others;
- unlawfully discriminate;
- sell counterfeit or stolen goods;
- infringe intellectual-property rights;
- engage in payment fraud;
- manipulate search, rankings, reviews, or marketplace signals;
- engage in unauthorized data collection;
- circumvent security controls;
- introduce malware;
- gain unauthorized system access;
- process transactions for unrelated third parties;
- engage in transaction laundering;
- structure transactions to evade compliance controls;
- launder money or finance unlawful activity;
- misrepresent your identity, location, products, or business;
- operate successor accounts to evade enforcement; or
- otherwise use StoryToShop for unlawful activity.
Serious violations may result in immediate account restriction or termination and, where applicable, reporting to Payment Providers or authorities.
26. SELLER RETURN, REFUND, AND CANCELLATION POLICIES
26.1 Sellers may establish reasonable return, refund, exchange, and cancellation policies subject to:
- applicable law;
- payment-network requirements; and
- StoryToShop's minimum Refund & Buyer Protection Policy.
26.2 Seller policies must be clearly disclosed before purchase and must be honored.
26.3 Seller policies may not eliminate rights customers are entitled to under applicable law or StoryToShop's minimum buyer protections.
26.4 StoryToShop may establish different minimum standards for categories including custom goods, personalized products, perishable goods, and digital products.
27. CUSTOMER COMPLAINTS AND MARKETPLACE DISPUTES
27.1 Seller-First Resolution. Sellers should ordinarily receive the first opportunity to resolve normal customer-service issues directly with their customers.
27.2 Escalation. If the parties cannot resolve the issue, the Seller or customer may escalate the dispute to StoryToShop.
27.3 Immediate Intervention. StoryToShop may intervene before Seller resolution where reasonably necessary to address:
- fraud;
- safety;
- legal violations;
- significant financial risk;
- payment-network requirements; or
- serious marketplace abuse.
27.4 Human Review Target. StoryToShop's target is to begin human review of a complete escalated complaint within 72 hours after receiving the information reasonably necessary to evaluate it. Some disputes may require additional investigation.
The 72-hour target is a service standard and is not a guaranteed resolution deadline or contractual service-level guarantee. A delay in meeting it is not a breach of this Agreement.
27.5 Marketplace Remedies. StoryToShop may determine that an appropriate marketplace resolution includes:
- refund;
- partial refund;
- return;
- cancellation;
- replacement;
- payment adjustment where technically permitted;
- Listing restriction;
- warning;
- temporary suspension; or
- another proportionate marketplace remedy.
27.6 Effect of StoryToShop Determination. A Seller agrees to comply with a properly issued StoryToShop marketplace determination made under the Refund & Buyer Protection Policy. Any resulting refund or financial adjustment properly attributable to the Seller constitutes an obligation of the Seller under this Agreement, subject to the payment mechanics permitted by Section 29.
27.7 Reason and Policy Basis. StoryToShop will generally explain the reason and policy basis for a material intervention, subject to legitimate legal, fraud, privacy, and security limitations.
27.8 Appeal. Material dispute determinations may be appealed under Section 34.
27.9 A StoryToShop marketplace decision is not a judicial determination of legal rights and does not make StoryToShop a party to the underlying Seller/customer sale.
28. REVIEWS, RATINGS, AND ENDORSEMENTS
Where StoryToShop offers reviews, ratings, affiliate features, or endorsements, Sellers may not:
- create fake reviews;
- create AI-generated fake reviews;
- purchase reviews or ratings;
- purchase positive sentiment;
- manipulate negative reviews;
- post undisclosed insider reviews where disclosure is required;
- commission negative reviews of competitors;
- retaliate against legitimate reviewers;
- purchase fake followers or engagement; or
- improperly condition incentives on positive review content.
Material relationships, sponsorships, and affiliate relationships must be disclosed where required by applicable law. StoryToShop may remove reviews or take enforcement action under its published standards, and may act against customers who abuse review features.
29. PAYMENTS, FEES, REFUNDS, AND CHARGEBACKS
29.1 Payment Processing and Settlement. Payment processing is provided through Stripe using Stripe Connect Express connected accounts. StoryToShop.ai is the settlement merchant for card transactions on the marketplace. A buyer's payment is captured by StoryToShop LLC, and net proceeds are transferred to the Seller's connected Stripe Express account after deduction of the Platform Fee and payment-processing costs attributable to the transaction. Sellers must complete Stripe Express onboarding and accept the Stripe Connected Account Agreement before receiving payouts.
29.2 Platform Fee. The Platform Fee is four percent (4.0%) of the merchandise subtotal, calculated as item price less any Seller-applied discount. Shipping charged to the buyer and sales tax collected are excluded. There are no listing fees unless properly introduced through updated terms and disclosures.
29.3 Payouts, Processing Costs, and Reporting. Platform fees and payment-processing costs are deducted at transaction settlement before net proceeds are transferred. Federal and state information reporting, including Form 1099-K where applicable, is handled by the party identified as the payment settlement entity under applicable law and the payment provider's configuration. StoryToShop LLC will tell Sellers which party issues an applicable form and will provide tax information required of it.
29.4 Seller Financial Obligations. A Seller is responsible for amounts attributable to the Seller, including Seller-funded refunds, payment disputes, chargebacks, reversals, transaction adjustments, Platform Fees, Plan charges, and fines or penalties imposed on StoryToShop LLC as a direct result of the Seller's unlawful or prohibited conduct.
29.5 Disputes and Reimbursement. Because destination-charge disputes and chargebacks may be debited from StoryToShop LLC's platform account, the Seller must reimburse StoryToShop LLC for losses, network fees, and properly attributable adjustments arising from the Seller's transaction. StoryToShop LLC may collect that obligation through lawful offsets or other remedies described in this Agreement. StoryToShop LLC will not allocate a loss to a Seller when the loss resulted solely from StoryToShop LLC's own error, gross negligence, willful misconduct, or violation of law.
29.6 Holds and Restrictions. Where permitted by law and the payment architecture, StoryToShop LLC may apply or request reasonable holds, restrictions, or payout delays for suspected fraud, unusual dispute activity, legal requirements, safety concerns, unresolved marketplace disputes, Payment Provider requirements, or comparable financial risk. A StoryToShop-controlled hold is limited to what is reasonably necessary, and StoryToShop LLC will generally provide notice and a reason unless disclosure would undermine fraud prevention, security, law enforcement, or an active investigation.
29.7 Payout Timing. StoryToShop LLC cannot guarantee payout timing when Stripe, a financial institution, a legal requirement, a fraud investigation, or another circumstance outside StoryToShop LLC's reasonable control causes delay.
29.8 Refund Treatment. For a full order refund, the StoryToShop Platform Fee attributable to that order is refunded to the Seller. For a partial refund, the Platform Fee is reduced proportionally to the refunded merchandise amount. Stripe processing costs are governed by Stripe's terms. Refunds and ledger adjustments are recorded through new append-only reversal or adjustment entries and do not rewrite completed ledger entries.
29.9 Seller Funds. StoryToShop LLC does not retain Seller funds as punishment. Amounts legitimately payable remain payable subject only to lawful and properly attributable refunds, chargebacks, disputes, reversals, fees, Plan charges, Seller obligations, permitted reserves or holds, legal holds, and Payment Provider restrictions.
30. SELLER PLANS AND BILLING
30.1 Paid StoryToShop subscription Plans are governed by the separate Seller Plan & Billing Terms.
30.2 StoryToShop intends its Seller billing structure to provide:
- clear recurring-billing disclosure;
- affirmative recurring-payment authorization;
- online cancellation;
- no cancellation fee;
- access through the end of an already-paid billing period; and
- reasonable advance notice of material price increases.
30.3 Plan cancellation does not automatically terminate this Seller Agreement or eliminate obligations relating to prior transactions.
31. TAXES
31.1 Marketplace Facilitator. StoryToShop LLC acts as a marketplace facilitator where applicable law assigns that role. StoryToShop LLC calculates, collects, reports, and remits transaction taxes it is legally required to handle, including applicable Texas sales tax.
31.2 Seller Taxes. Sellers remain responsible for taxes legally imposed on the Seller and not collected or remitted by StoryToShop LLC, including income, franchise, self-employment, business, excise, and other Seller-specific taxes.
31.3 Transaction-Tax Placement. For destination-charge transactions, Stripe Tax is configured on the platform-side charge. Tax collected from the buyer is excluded from the Platform Fee calculation and retained by StoryToShop LLC for remittance where StoryToShop LLC is the responsible marketplace facilitator. Sellers must provide accurate product tax classifications and other required tax information.
31.4 Documentation and Withholding. Failure to provide required taxpayer identification or tax documentation may result in legally required withholding or restriction of selling privileges. StoryToShop LLC's collection of a particular tax does not relieve a Seller of obligations StoryToShop LLC is not legally responsible for handling.
32. HUMAN GOVERNANCE AND AUTOMATED SYSTEMS
32.1 Human Final Accountability. StoryToShop will not delegate the final decision solely to an autonomous AI system to:
- permanently terminate a Seller;
- impose a material long-term Seller suspension;
- determine a Creator Integrity complaint;
- make the final determination of an escalated marketplace dispute; or
- determine an appeal concerning those matters.
A human member of the StoryToShop team will make or ratify those final decisions.
32.2 Permitted Automation. StoryToShop may use software and automated systems to:
- detect fraud;
- detect spam;
- identify suspicious activity;
- identify duplicate or similar content;
- flag Listings;
- route complaints;
- prioritize review queues;
- recommend outcomes;
- assist support staff;
- power search;
- power discovery;
- personalize recommendations;
- perform analytics;
- monitor security; and
- apply temporary safeguards pending human review.
32.3 Temporary Restrictions. Automated systems may impose temporary safeguards pending human review. A material automated restriction is routed promptly and will not remain in place longer than seventy-two (72) hours without human review.
32.4 AI Support. StoryToShop will not use autonomous AI agents that falsely present themselves as human representatives when handling serious Seller disputes. StoryToShop may use clearly identified automated assistants for general support, information retrieval, and routine self-service functions.
32.5 Third-Party Systems. Payment Providers, security vendors, and other third parties may use automated, machine-learning, or AI systems, including for fraud and risk decisions, in accordance with their own terms and policies. Section 32.1 applies to decisions StoryToShop makes; it does not govern determinations made by a Payment Provider or other third party under that party's own terms.
32.6 Changes. StoryToShop may update this Section prospectively under Section 41. Any change to Section 32.1 will be treated as a material change.
33. SELLER FAIRNESS
StoryToShop's enforcement authority is paired with reasonable process. As a general rule:
- significant suspensions receive notice and a reason;
- Creator Integrity enforcement provides a response opportunity where practicable;
- Material Enforcement Actions may be appealed;
- dispute decisions identify the applicable marketplace rule;
- documentation requests identify what is needed;
- fund restrictions receive a general explanation where permitted; and
- termination receives notice, a reason, and one internal appeal unless notice is legally restricted.
Nothing in this Section prevents StoryToShop from taking immediate temporary action when necessary for safety, fraud, security, payment risk, or legal compliance.
34. ENFORCEMENT, NOTICE, AND APPEALS
34.1 Enforcement. StoryToShop may:
- investigate;
- request information;
- issue warnings;
- require corrective action;
- remove or restrict Listings;
- limit discovery visibility;
- pause a Storefront;
- suspend selling privileges;
- impose payment restrictions where legally and technically permitted; or
- terminate an account.
34.2 Proportionality. StoryToShop will generally consider:
- severity;
- intent;
- history;
- customer harm;
- creator harm;
- fraud risk;
- safety risk; and
- whether the Seller has previously received warnings.
A single serious violation may justify termination.
34.3 Material Enforcement Notice. When StoryToShop takes a Material Enforcement Action, StoryToShop will generally provide:
- notice of the action;
- a meaningful reason;
- the Agreement or policy provision relied upon; and
- the appeal period.
34.4 Limited Disclosure. StoryToShop may withhold information where disclosure would:
- violate law;
- compromise security;
- reveal confidential investigative methods;
- interfere with fraud prevention;
- interfere with an active investigation; or
- create a meaningful risk to another person.
Where StoryToShop withholds information for one of these reasons, it will generally say that it has done so.
34.5 Appeal. A Seller may submit one internal appeal within fourteen (14) days following notice of a Material Enforcement Action.
34.6 Human Review. Appeals relating to permanent termination, material long-term suspension, Creator Integrity, or other significant account actions will receive human review. Where reasonably practicable, the appeal reviewer will be different from the person who made the original final decision.
34.7 StoryToShop is not required to provide repeated or unlimited appeals.
34.8 Evasion. StoryToShop may restrict successor or related accounts reasonably determined to have been established to evade prior enforcement.
35. SUSPENSION, TERMINATION, OPEN ORDERS, AND SELLER FUNDS
35.1 Seller Closure. A Seller may stop selling and close an account subject to completing or resolving:
- open orders;
- refunds;
- payments;
- chargebacks;
- disputes; and
- other outstanding obligations.
35.2 StoryToShop Suspension or Termination. StoryToShop may suspend, restrict, or terminate access when:
- the Seller violates this Agreement or incorporated policies;
- the Seller repeatedly violates marketplace requirements;
- a serious violation occurs;
- fraud, security, safety, intellectual-property, or payment risk exists;
- action is required by law;
- action is required by a Payment Provider;
- continued activity creates unacceptable marketplace risk; or
- StoryToShop discontinues the applicable Service, Plan, category, or jurisdiction.
Where StoryToShop discontinues a Service or category rather than acting because of Seller misconduct, StoryToShop will provide reasonable advance notice where practicable.
35.3 Open Orders. When a Seller is suspended or terminated, StoryToShop may determine whether open orders should:
- continue to fulfillment; or
- be cancelled and refunded,
consistent with applicable marketplace policies and customer protection.
35.4 Seller Funds. Suspension or termination does not automatically forfeit Seller funds. Amounts legitimately payable remain payable subject to the adjustments and restrictions permitted under Section 29.
35.5 Post-Termination Holds. Where legally and technically permitted, StoryToShop may maintain a reasonable post-termination hold appropriate to unresolved chargeback, dispute, refund, fraud, or legal exposure. StoryToShop will generally communicate the reason and expected duration of a StoryToShop-controlled hold.
35.6 Survival. Termination or suspension does not eliminate obligations that arose before it. The following survive termination: Sections 1 (Definitions), 11 through 19 to the extent they govern conduct or content occurring before termination, 20 (Customer Information and Privacy), 27.6 (Effect of StoryToShop Determination), 29 (Payments, Fees, Refunds, and Chargebacks), 31 (Taxes), 36 (Seller Representations and Warranties), 37 (Indemnification), 38 (Disclaimer of Warranties), 39 (Limitation of Liability), 40 (Disputes Between Users), 42 (Electronic Acceptance and Records), 43 (Governing Law and Dispute Resolution), 44 (Notices), 45 (General Terms), and any other provision that by its nature should survive.
36. SELLER REPRESENTATIONS AND WARRANTIES
You represent and warrant that:
- you have authority to enter this Agreement;
- information you provide is accurate;
- you have the legal right to offer each product;
- you hold required licenses and permits;
- your products and Listings comply with law;
- your products and Seller Content do not unlawfully infringe third-party rights;
- your products comply with the Human-Created Product Standard;
- your Listing images truthfully represent your products;
- your Listings accurately represent what customers will receive;
- your products are reasonably safe for their intended and reasonably foreseeable uses;
- you will comply with applicable privacy and consumer-protection law;
- you will comply with applicable sanctions requirements; and
- you will fulfill your customer obligations.
37. INDEMNIFICATION
37.1 To the fullest extent permitted by law, Seller will defend, indemnify, and hold harmless StoryToShop and its applicable owners, directors, officers, employees, affiliates, contractors, and service providers from third-party claims, liabilities, damages, judgments, penalties, taxes, reasonable legal fees, and costs arising from:
- Seller products;
- product liability or product injuries;
- Seller Content;
- Seller Listings or representations;
- Seller fulfillment;
- Seller customer service;
- Seller-controlled refunds and transaction disputes;
- Seller misuse of customer information;
- Seller privacy or marketing-law violations;
- Seller tax obligations;
- Seller infringement or misappropriation of third-party rights;
- Seller violation of law; or
- Seller breach of this Agreement.
37.2 Defense Mechanics. StoryToShop will notify Seller of a claim subject to indemnification. Seller will defend the claim with counsel reasonably acceptable to StoryToShop. StoryToShop may participate in the defense with its own counsel at its own expense and may assume control of the defense where reasonably necessary to protect its interests. Seller will not settle a claim in a way that imposes an obligation on StoryToShop, admits fault by StoryToShop, or affects StoryToShop's rights, without StoryToShop's prior written consent. Seller will cooperate reasonably with the defense.
37.3 Relationship to Section 39. Seller's obligations under this Section are not limited by the liability limitations in Section 39.
37.4 Carve-Out. Seller's obligations under this Section do not apply to the extent a claim arises from StoryToShop's own negligence, gross negligence, willful misconduct, or violation of law.
38. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, STORYTOSHOP IS PROVIDED "AS IS" AND "AS AVAILABLE."
STORYTOSHOP DOES NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY INCIDENTS.
STORYTOSHOP DOES NOT GUARANTEE SALES, PROFITS, TRAFFIC, SEARCH POSITION, DISCOVERY PLACEMENT, CUSTOMER BEHAVIOR, OR BUSINESS RESULTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, STORYTOSHOP DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
39. LIMITATION OF LIABILITY
39.1 TO THE FULLEST EXTENT PERMITTED BY LAW, STORYTOSHOP AND ITS APPLICABLE OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST OPPORTUNITY, LOSS OF GOODWILL, OR LOSS OF DATA ARISING FROM OR RELATING TO THE SERVICE OR THIS AGREEMENT.
39.2 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, STORYTOSHOP LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES PAID OR PAYABLE TO STORYTOSHOP LLC BY THE SELLER DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
39.3 Seller Proceeds Are Not "Damages." The liability cap does not authorize StoryToShop to retain undisputed amounts StoryToShop is obligated to remit to a Seller. Amounts properly due to a Seller from completed transactions remain governed by Sections 29 and 35.
39.4 Other Carve-Outs. The limitation does not apply:
- where liability cannot lawfully be limited;
- to liability arising from StoryToShop's fraud, gross negligence, or willful misconduct; or
- to any indemnification obligation StoryToShop expressly undertakes.
39.5 These limitations apply notwithstanding the failure of any limited remedy of its essential purpose.
40. DISPUTES BETWEEN USERS
To the fullest extent permitted by law, StoryToShop is not responsible for claims arising solely from disputes between a Seller and a customer, another Seller, or another third party, except to the extent a claim results directly from StoryToShop's own obligations under applicable law or this Agreement.
StoryToShop's assistance with a marketplace complaint does not make StoryToShop the seller or a party to the underlying sale.
41. CHANGES TO THIS AGREEMENT AND POLICIES
41.1 StoryToShop may update this Agreement and incorporated policies as the Service, marketplace, technology, Payment Provider requirements, and applicable law evolve.
41.2 Notice. StoryToShop will provide reasonable advance notice of material changes. Material economic changes, including increases to the Platform Fee, will receive conspicuous advance notice. StoryToShop will not change material economic terms silently or with immediate effect.
41.3 No Retroactive Changes to Existing Disputes. A change to this Agreement will not retroactively alter rights governing a claim or dispute that accrued before the change became effective. StoryToShop will not amend this Agreement after a dispute arises in order to change the parties' rights regarding that dispute, and will not amend it to alter the dispute-resolution rules applicable to a dispute for which notice has already been given under Section 43.2.
41.4 Urgent Changes. Changes required for law, security, fraud prevention, Payment Provider requirements, or product safety may take effect on shorter notice where reasonably necessary. StoryToShop will explain the reason where it does so.
41.5 Reacceptance. StoryToShop may require affirmative acceptance of materially revised terms before a Seller may continue selling. Where affirmative acceptance is not required, continued selling after properly noticed terms take effect constitutes acceptance to the extent permitted by law.
41.6 A Seller who does not accept a material future change may stop selling and close the account before that change takes effect, without penalty, subject to unresolved prior obligations.
42. ELECTRONIC ACCEPTANCE AND RECORDS
42.1 Clickwrap. StoryToShop uses affirmative clickwrap acceptance. Acceptance requires the Seller to check an unchecked agreement box and submit the Seller registration or applicable reacceptance flow.
42.2 StoryToShop does not rely solely on passive use of the Service as the original method of Seller Agreement acceptance.
42.3 Electronic Communications. Seller agrees to receive appropriate account, legal, transactional, and policy communications electronically. Seller is responsible for keeping its email address current.
42.4 Acceptance Records. StoryToShop LLC records each acceptance as a new append-only event containing the Seller user ID, Seller store ID, Agreement version and SHA-256 digest, a snapshot of each incorporated policy's version and SHA-256 digest, the main Agreement checkbox value and server timestamp, the separate originality-and-AI certification value and server timestamp, the database timestamp, acceptance source, IP address, browser user-agent string, typed electronic-signature name, business name, and signer's title or capacity. Prior events are never overwritten. Sellers may view a summary under Settings → Legal & Compliance and may request the complete record through privacy@storytoshop.ai.
43. GOVERNING LAW AND DISPUTE RESOLUTION
43.1 Governing Law. Except where applicable law requires otherwise, this Agreement is governed by Texas law and applicable federal law, without regard to conflict-of-law principles.
43.2 Informal Resolution. Before initiating arbitration or litigation, StoryToShop LLC and Seller will attempt in good faith to resolve the dispute for thirty (30) days after written notice is delivered under Section 44. The notice must describe the claimant, the facts, the requested relief, and contact information sufficient to discuss resolution.
43.3 Binding Individual Arbitration. Except for matters described in Section 43.4, any dispute, claim, or controversy arising from or relating to this Agreement, the Service, or the relationship between StoryToShop LLC and Seller that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under the rules applicable to the dispute. The Federal Arbitration Act governs this arbitration provision. Arbitration will take place in Travis County, Texas, remotely, or at another location agreed by the parties. The arbitrator may award any individual remedy available in court and will issue a reasoned written decision. Questions concerning the formation, validity, enforceability, scope, or interpretation of this arbitration provision are for the arbitrator, except that a court will decide enforceability of the class-action waiver.
43.4 Exceptions. Either party may bring an eligible individual matter in small-claims court. Either party may seek temporary or emergency injunctive relief in a court of competent jurisdiction for intellectual-property infringement, unauthorized system access, misuse of confidential information, fraud, security threats, or comparable imminent harm. Government agencies may exercise authority provided by law.
43.5 Class, Collective, and Representative-Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, STORYTOSHOP LLC AND SELLER AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine claims of different persons without the written consent of all parties.
43.6 Jury-Trial Waiver. FOR ANY DISPUTE PERMITTED TO PROCEED IN COURT, STORYTOSHOP LLC AND SELLER KNOWINGLY AND VOLUNTARILY WAIVE TRIAL BY JURY TO THE FULLEST EXTENT PERMITTED BY LAW.
43.7 Fees. Arbitration fees and costs are allocated under the applicable AAA rules and applicable law. Each party bears its own attorneys' fees unless the arbitrator or applicable law authorizes otherwise.
43.8 Court Venue. A non-arbitrable dispute must be brought exclusively in a state or federal court with jurisdiction in Travis County, Texas, unless applicable law requires another forum. Each party consents to personal jurisdiction and venue there.
43.9 No Retroactive Change. StoryToShop LLC will not retroactively change the dispute-resolution rules governing a dispute that accrued before a revised provision became effective.
44. NOTICES
44.1 Notices to StoryToShop. Legal notices other than copyright notices must be delivered to:
StoryToShop LLC
Attn: Legal
Spicewood, Texas 78669
legal@storytoshop.ai
Email is the primary legal-notice channel until StoryToShop LLC publishes a complete deliverable street address. A notice requiring physical delivery is effective only when delivered to the then-current registered or principal address maintained in StoryToShop LLC's official records.
44.2 Notices to Seller. StoryToShop LLC may provide notices to the email address associated with the Seller account, through the Seller dashboard, or through another reasonable electronic method. Notice is effective when sent or posted.
44.3 Copyright Notices. Copyright notices must be submitted to the Designated Copyright Agent identified in Section 16.3 and the IP & DMCA Takedown Policy.
45. GENERAL TERMS
45.1 Severability. If part of this Agreement is determined to be unenforceable, the remainder will remain effective to the maximum extent permitted by law.
45.2 No Waiver. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
45.3 Assignment. Seller may not assign this Agreement or transfer a Seller account without StoryToShop's prior approval. StoryToShop may permit legitimate transfers connected with the sale or succession of a Seller business subject to verification and acceptance of applicable StoryToShop terms. StoryToShop may assign this Agreement as part of a merger, acquisition, financing, reorganization, sale of assets, or comparable corporate transaction.
45.4 Force Majeure. StoryToShop is not responsible for failures caused by circumstances reasonably outside its control, including natural disasters, major infrastructure outages, cloud-service failures, payment-network outages, governmental action, widespread telecommunications failures, and comparable events.
45.5 Independent Parties. The parties are independent contractors.
45.6 Entire Agreement. This Agreement and properly incorporated StoryToShop policies constitute the agreement between StoryToShop and Seller concerning Seller's use of StoryToShop.
45.7 Interpretation. Section headings, tables, and any explanatory notes are for convenience only and do not affect interpretation. Where an explanatory note and an operative provision appear to differ, the operative provision controls. "Including" means "including without limitation."
45.8 Third-Party Beneficiaries. This Agreement does not create rights in any third party, except as expressly stated or as required by a Payment Provider agreement.
46. INCORPORATED POLICIES
The following policies are incorporated into and form part of this Agreement. Each is presented during electronic acceptance and remains available at its canonical route.
| # | Policy | Canonical route |
|---|---|---|
| 46.1 | Seller Performance Standards | https://storytoshop.ai/legal/seller-standards |
| 46.2 | Product Originality Policy | https://storytoshop.ai/legal/originality-policy |
| 46.3 | Intellectual Property & DMCA Takedown Policy | https://storytoshop.ai/legal/ip-dmca |
| 46.4 | Prohibited & Restricted Products Policy | https://storytoshop.ai/legal/prohibited-products |
| 46.5 | Refunds & Buyer Protection Policy | https://storytoshop.ai/legal/refund-buyer-protection |
| 46.6 | Seller Fee Schedule | https://storytoshop.ai/legal/seller-fee-schedule |
| 46.7 | Plan & Subscription Billing Terms | https://storytoshop.ai/legal/plan-billing-terms |
| 46.8 | Privacy Policy | https://storytoshop.ai/legal/privacy |
46.9 Publication Requirement. A policy does not become enforceable merely because it is internally drafted. It must be published, presented during acceptance, versioned, hashed, and incorporated. An unpublished policy is not part of this Agreement.
46.10 Conflicts. A specific incorporated policy controls operational detail within its subject. This Agreement controls general contract interpretation unless applicable law requires otherwise. A policy may not reduce a Seller right expressly granted by this Agreement.
47. SELLER ACCEPTANCE, CERTIFICATION, AND ELECTRONIC SIGNATURE
47.1 Agreement Acceptance. Seller must affirmatively check an unchecked box stating: “I have read and agree to the StoryToShop Seller Agreement and the policies it includes.” The Seller Agreement and all eight policies must be linked and available before submission.
47.2 Originality and AI Certification. Seller must separately check an unchecked box stating: “I certify that my products are my own original work.” To the best of Seller's knowledge, Seller certifies that the products meet StoryToShop.ai's originality requirements; the creative expression sold was made by a human and not generated by AI; Seller has not knowingly copied or traced another creator's work without permission; Seller has not submitted another creator's work to an AI system to create a version to sell; and Seller will not use AI-generated images to represent products in Listings.
47.3 Typed Signature and Authority. Seller must enter the signer's full legal name, the Seller's legal or business name where applicable, and the signer's title or capacity. By checking both required boxes, typing the signer's name, and selecting Create my storefront, the signer adopts this Agreement electronically and represents that the signer has authority to bind the Seller.
47.4 No Bundled or Passive Consent. Neither checkbox may be preselected. There is no “accept all” shortcut. Registration cannot complete until both boxes and the typed signature fields are complete. Passive use, a hidden term, or a link alone is not original acceptance.
47.5 Confirmation. StoryToShop LLC sends confirmation after successful acceptance showing the accepted version, date and time, links to this Agreement and all eight incorporated policies, and the path to Settings → Legal & Compliance.
47.6 Reacceptance. When StoryToShop LLC designates a revised document as requiring reacceptance, Seller must complete the same separate acceptance, certification, and typed-signature process before continuing to sell. The new event is appended and the prior event is preserved.
END OF SELLER AGREEMENT
